Master Service Agreement

1. Scope of Work

This Master Service Agreement ("MSA") governs all work executed by WebBrandify ("Agency") for the Client. The specific deliverables, timelines, and costs will be defined in individual Statement of Work (SOW) documents or Custom Quotes assigned to the Client.

2. Client Responsibilities

The Client agrees to provide timely feedback, approvals, and necessary assets (text, images, branding materials, credentials) required to complete the project. Delays caused by the Client in providing necessary assets will proportionally extend project deadlines.

3. Payment Terms

  • Invoices for one-off projects are typically divided into milestones (e.g., 50% upfront, 50% upon completion).
  • Monthly retainers are billed on the 1st of every month.
  • Late payments beyond 7 days will incur a 1.5% late penalty fee per month.
  • The Agency reserves the right to suspend services and hostings if payments are overdue.

4. Warranties and Liability

The Agency warrants that services will be performed in a professional manner. However, we do not guarantee specific business results (like sales numbers or raw traffic volume) unless explicitly stated in a performance-based contract. The Agency's maximum liability is strictly limited to the total fees paid by the Client to the Agency during the preceding 3 months.

5. Confidentiality

Both parties agree to keep all proprietary information, trade secrets, business strategies, and data strictly confidential both during and after the duration of this agreement.
